Company Secretary & Legal Counsel

 

Job Description:

1. Company Secretarial Duties:

  • Ensure compliance with statutory and regulatory requirements under the Companies Act and other relevant laws and regulations.
  • Maintain and update statutory registers, records, and filings with the Registrar of Companies (ROC) and other regulatory authorities.
  • Prepare and file necessary documents such as annual returns, board resolutions, and forms required under company law.
  • Organize and manage board meetings, committee meetings, and general meetings, including drafting agendas, preparing minutes, and follow-up on action points.
  • Provide guidance to the board of directors on corporate governance practices and compliance issues.
  • Facilitate communication between the company and its shareholders, ensuring transparency and adherence to corporate governance norms.
  • Advise on matters related to corporate restructuring, mergers, acquisitions, and other corporate actions.

 

2. Legal Responsibilities:

  • Provide legal advice and support to the company on various legal issues, including contracts, agreements and commercial transactions.
  • Draft, review, and negotiate contracts, agreements, and legal documents and protect company's interests.
  • Conduct legal research and analysis to stay updated on changes in laws and regulations.
  • Assess legal risks and provide proactive advice to mitigate potential liabilities.
  • Develop and implement legal policies, procedures, and compliance programs.

 

3. Compliance and Risk Management:

  • Monitor and assess regulatory developments and changes in laws affecting the company's business.
  • Develop and implement compliance programs to ensure adherence to applicable laws, regulations, and internal policies.

 

4. Stakeholder Management:

  • Liaise with external stakeholders, including regulatory authorities, legal advisors, auditors, and government agencies, to represent the company's interests and resolve issues.
  • Collaborate with internal stakeholders, such as senior management, board of directors, and functional teams, to provide guidance and support on legal and compliance matters.
  • Communicate effectively with stakeholders to ensure clarity and transparency regarding legal and regulatory requirements and the company's compliance efforts.

 

5. Continuous Learning and Development:

  • Stay updated on developments in company law, corporate governance practices, and legal trends through continuous learning and professional development activities.
  • Attend seminars, workshops, and training programs to enhance knowledge and skills relevant to the role of a company secretary and legal counsel.
  • Share insights and best practices with colleagues and contribute to the overall knowledge sharing and learning culture within the organization.

  • Member of the Institute of Company Secretaries of India (ICSI) + LL.B from a recognized university.
  • Minimum of 6 years of experience in corporate secretarial and legal roles, preferably in a corporate environment or law firm.
  • In-depth knowledge of company law, corporate governance principles, and regulatory compliance requirements in India.
  • Strong analytical, problem-solving, and decision-making skills with attention to detail and accuracy.
  • Excellent communication, interpersonal, and negotiation skills, with the ability to interact effectively with internal and external stakeholders.
  • Proven ability to work independently, manage multiple tasks simultaneously, and meet deadlines in a fast-paced environment.
  • Sound judgment and integrity, with a commitment to upholding ethical standards and professional conduct.

Qualifications and Skills:
