Fuso Tech Center India - General Counsel and Compliance Officer

As a General Counsel & Compliance Officer at FTCI, you will play a critical role in managing legal risks, ensuring regulatory compliance, supporting the implementation of FTCI’s global compliance framework, and fulfilling company secretarial duties. You will handle litigation, contracts, intellectual property, corporate governance, and provide legal advisory while leading compliance initiatives across product legal and compliance, i.a. supporting R&D with regard to homologation and other related regulatory requirements, anti-corruption, sanctions, AML, data protection, antitrust and integrity management.

 

Company Secretarial Duties

  • Ensure full compliance with statutory and regulatory requirements under the Companies Act and other relevant laws and regulations by coordinating this process with relevant functions within the company.

  • Maintain and update statutory registers, records, and filings with the Registrar of Companies (ROC) and other regulatory authorities.

  • Prepare and file necessary documents such as annual returns, board resolutions, and forms required under company law.

  • Organize and manage board meetings, committee meetings, and general meetings, including drafting agendas, preparing minutes, and follow-up on action points.

  • Provide guidance to the board of directors on corporate governance and compliance best practices .

  • Facilitate communication between the company and its shareholders, ensuring transparency and adherence to corporate governance norms.

  • Advice on matters related to corporate restructuring, mergers, acquisitions, and other corporate actions.

Legal Responsibilities

  • Provide legal advice and support to the company on various legal issues, including litigations, contracts, agreements and commercial transactions.

  • Draft, review, and negotiate contracts, agreements, and legal documents and protect company's interests.

  • Conduct legal research and analysis to stay updated on changes in laws and regulations.

  • Identify, assess legal risks and provide proactive advice to mitigate potential liabilities.

  • Develop and implement legal policies, procedures, and compliance programs.

Compliance and Risk Management

  • Monitor and assess regulatory developments and changes in laws affecting the company's business.

  • Develop and implement compliance program according to parent company guidance and additionally ensure adherence to international and local applicable laws, regulations, and internal policies.

  • Support the local Management in the performance of defined processes in particular in the Product Legal & Compliance area and consult the team on potential legal grey zones.

Stakeholder Management

  • Liaise with external stakeholders, including regulatory authorities, legal advisors, auditors, and government agencies, to represent the company's interests and resolve issues.

  • Collaborate with internal stakeholders, such as senior management, board of directors, and functional teams, to provide guidance and support on legal and compliance matters.

  • Communicate effectively with stakeholders to ensure clarity and transparency regarding legal and regulatory requirements and the company's compliance efforts.

Continuous Learning and Development

  • Stay updated on developments in company law, corporate governance practices, and legal trends through continuous learning and professional development activities.

  • Attend seminars, workshops, and training programs to enhance knowledge and skills relevant to the role of a company secretary and legal counsel.

  • Share insights and best practices with colleagues and contribute to the overall knowledge sharing and learning culture within the organization.

Member of the Institute of Company Secretaries of India (ICSI) + LL.B from a recognized university 

  • Bachelor’s or Master’s degree in Law or related field.

  • 5–10 years of corporate legal, compliance, and company secretarial experience.

  • Strong understanding of Indian laws and international compliance frameworks.

Skills & Competencies

  • Excellent legal drafting and analytical skills.

  • Strong communication and stakeholder management.
